Terms & Conditions

This agreement sets forth the Terms and Conditions ("Terms") governing your use of the darit.net website ("Site") and the IT services ("Services") provided by Darit Technology Services ("we," "us," or "our"). By accessing the Site or engaging our Services, you ("Client") agree to be legally bound by these Terms.

1. Services

We provide computer systems design and related services (NAICS 541514), including but not limited to IT support, system setup, and network maintenance, on a best-effort basis.

2. CRITICAL CLIENT RESPONSIBILITIES

  • DATA BACKUP: The Client acknowledges and agrees that they are solely and entirely responsible for performing a complete and verified backup of all existing data, software, and programs on their systems before any Services are performed by us.

  • ACCESS: The Client agrees to provide necessary and safe access to premises, systems, and required credentials for us to perform the Services.

 

3. DISCLAIMER OF WARRANTIES

All Services are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. We do not warrant that our Services will be uninterrupted, error-free, or will meet the Client's specific requirements.

 

4. LIMITATION OF LIABILITY (EXTREMELY IMPORTANT)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN THE PROVINCE OF ONTARIO, DARIT TECHNOLOGY SERVICES (AS A SOLE PROPRIETORSHIP) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • ANY LOSS OF DATA, CORRUPTION OF DATA, OR COST OF DATA RECOVERY.

  • LOSS OF PROFITS, REVENUE, OR BUSINESS INTERRUPTION.

  • DAMAGE TO HARDWARE, SOFTWARE, OR ANY OTHER PROPERTY OF THE CLIENT.

 

The Client expressly agrees that our total liability for any and all claims, damages, or losses arising from the Services is strictly limited to the amount paid by the Client for the specific Service from which the claim arose. The Client's decision to engage our Services is an acknowledgment of this limitation of liability and an assumption of risk, particularly concerning data backup.

 

5. Payment and Cancellation

  • Fees for Services are quoted in Canadian Dollars (CAD) and are subject to applicable taxes.

  • Payment is due as specified at the time of booking or on the invoice.

  • A minimum of 24 hours' notice is required for service cancellations. Failure to provide adequate notice may result in a cancellation fee.

 

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

 

7. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Site or Services following any changes constitutes your acceptance of the new Terms.
